If you are trying to convert an Mp3 with multiple instruments playing, you will not be able to change it to MIDI. I know FL Studio has this ability, but it is not free and is limited by the single note issue that I mentioned. Try a google search for free converters, but again, keep in mind that it will only work with single notes, so the Mp3 you have must be single note hits.
